Passenger Terms of Service

1. Acceptance of Terms

Welcome to Vamp! These Terms of Service ("Terms") govern your access to and use of the Vamp mobile application, website, and related services (collectively, the "Services") provided by Vamp Mobility, Inc. ("Vamp," "we," "us," or "our").

By creating an account or using our Services, you agree to be bound by these Terms, our Privacy Policy (available at https://vamp.app/privacy), and any additional terms that apply to specific features of our Services. If you do not agree to these Terms, you may not use our Services.

Important: These Terms include an arbitration agreement and a class action waiver. Please read Section 11 carefully as it affects your legal rights.

2. The Services

2.1 Platform Description

Vamp operates a technology platform that connects riders seeking transportation with third-party transportation providers ("drivers"). Vamp is a marketplace and technology provider and does not directly provide transportation services.

2.2 Third-Party Providers

All rides and transportation services are provided by independent contractors who are not employees of Vamp. Drivers use their own vehicles and set their own schedules. Vamp does not control or direct how drivers perform transportation services.

2.3 AI and Advanced Technology

Some rides may use AI-powered safety monitoring, autonomous vehicle features, or other advanced technologies. When applicable, you will be notified of these features before your ride.

2.4 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We may impose limits on certain features or restrict access to parts or all of the Services without liability.

3. Eligibility and Account Requirements

3.1 Age Requirement

You must be at least 18 years old to create a Vamp account and use our Services. By using our Services, you represent and warrant that you meet this age requirement.

Note: Vamp may, at any time, request proof of age from any user. Accounts found to be held by individuals under 18 will be subject to immediate termination.

3.2 Account Registration

To use certain features, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3.3 Identity Verification

We may require identity verification to ensure safety and prevent fraud. This may include government-issued ID, phone verification, or other information as needed.

3.4 Background Checks (Drivers)

Individuals seeking to provide rides as drivers must pass background checks and meet applicable requirements, including valid driver's license, vehicle registration, and insurance.

4. User Conduct and Prohibited Activities

When using the Services, you agree not to:

  • Violate laws or third-party rights
  • Use the Services for illegal or unauthorized purposes
  • Harass, threaten, intimidate, or harm other users
  • Discriminate based on protected characteristics
  • Provide false or misleading information
  • Circumvent fees or manipulate pricing
  • Interfere with proper functioning of the Services
  • Use automated systems or bots to access the Services
  • Reverse engineer or disassemble the app or platform
  • Share your account credentials
  • Transport illegal goods or hazardous materials
  • Engage in fraudulent or bad-faith payment disputes

5. Payment and Fees

5.1 Pricing

You will be charged for rides based on factors such as distance, time, demand, and vehicle type. Vamp provides upfront pricing estimates before you request a ride. Final charges may differ based on actual ride details.

5.2 Payment Methods

You must provide a valid payment method to use our Services. Payment processing is handled by third-party processors (e.g., Stripe). By providing a payment method, you authorize Vamp to charge for all fees incurred. Supported payment methods include credit/debit cards, Apple Pay, and Google Pay (via Stripe).

5.3 Cancellations and No-Shows

  • Cancellations: Fees may apply if you cancel after a driver has been assigned.
  • No-Shows: Fees may apply if you fail to appear for a scheduled pickup.

Cancellation and no-show fees will be disclosed in the app prior to booking and are subject to change. Current fee schedules are available in the app's Help Center.

5.4 Promotional Credits

Promotional credits, discounts, and offers are subject to specific terms. Credits: Are not transferable; have no cash value; may expire per the promo terms.

5.5 Refunds

Refund requests are evaluated case-by-case. Vamp reserves the right to deny refunds for services properly rendered.

5.6 Taxes

You are responsible for all applicable taxes. Taxes may be added to your fare as required by law.

5.7 Dynamic Pricing / Surge

Fares may include surge pricing during high-demand periods. Applicable surge multipliers will be reflected in the upfront fare estimate provided to you before you confirm your ride.

6. Safety and Community Guidelines

6.1 Safety Standards

Vamp is committed to maintaining a safe platform. All users must: Follow traffic laws and safety regulations; treat others with respect; comply with our Community Guidelines and Safety Standards; report unsafe behavior, harassment, or violations.

6.2 Emergency Assistance

The Vamp app includes safety features such as: Emergency Contact Buttons; Ride Sharing with Friends; 24/7 Support through the app. Important: Always call local emergency services first in an actual emergency.

6.3 Incident Reporting

Users are required to report accidents or collisions; safety incidents or concerns; violations of these Terms. Reports can be submitted through the app or by contacting Vamp support.

6.4 Account Suspension for Safety or Misconduct

Vamp may suspend or terminate accounts for violations of Terms; safety concerns; fraudulent activity; material breach of these Terms or conduct that Vamp reasonably determines poses a risk to users, drivers, or the integrity of the platform. Suspension or termination may occur without prior notice.

6.5 Minor Users

The Services are not intended for individuals under 18. Vamp does not knowingly collect information from children.

7. Live Stream, Video, and Multimedia Usage

7.1 Video Access and Sharing

  • Some rides may include dashcam or HD Fleet video.
  • Passengers can create shareable live links for trips via the app.
  • Links are unguessable token URLs; optional limits on viewers and expiry may apply.
  • Trip-end or 24-hour TTL: Shareable links expire automatically at trip end or after 24 hours.

7.2 Access Control

  • Passengers cannot create an allowlist of specific recipients beyond optional viewer limits.
  • Revocation mid-trip is limited to link expiration or trip completion.

7.3 Privacy Considerations

  • Only aggregate viewer counts are tracked in the app; individual viewer identity is not logged.
  • Video recordings are not stored permanently by Vamp; underlying footage retention is governed by Roadeazy's data retention policy. Passengers who wish to understand how their footage is retained and managed should review Roadeazy's privacy and data retention policy, available on Roadeazy's website.

7.4 Liability

  • Passengers are responsible for proper sharing of links.
  • Vamp is not liable for misuse of video links shared externally.

7.5 Audio Recordings

  • Vamp does not record or store audio from trips.
  • Communication via the app (e.g., SMS notifications) is handled by third-party services like Twilio, for which Vamp only stores the necessary metadata.

8. Payments, Promotions, and Refunds

8.1 Payment Methods

  • Passengers must provide a valid payment method to use the Services.
  • Supported methods include cards, Apple Pay, and Google Pay (via Stripe SDK or other processors).
  • Payment processing is handled by third-party payment processors; Vamp does not store full card numbers or CVV codes.

8.2 Authorization

By adding a payment method, you authorize Vamp to charge for all rides, fees, taxes, and applicable surcharges.

8.3 Dynamic Pricing

Ride fares may include distance, duration, vehicle type, demand, and surge multipliers. Upfront estimates are provided but final charges may differ based on actual ride details.

8.4 Promotions and Credits

Promotional credits, discounts, or vouchers are subject to specific terms and expiration dates. Credits are non-transferable, have no cash value, and may expire automatically.

8.5 Refunds and Disputes

Refunds are evaluated case-by-case via app support. Fare disputes, failed payments, or refund requests are handled by Vamp in coordination with Stripe or other processors. Vamp reserves the right to refuse refunds for services properly rendered.

8.6 Taxes and Fees

Passengers are responsible for applicable taxes, tolls, or fees required by law. Taxes may be added automatically to the fare where applicable.

8.7 Chargebacks

Any payment disputes initiated via your card issuer may be referred to Stripe; Vamp will cooperate but is not liable for third-party processing delays or decisions.

9. Safety and Passenger Responsibilities

9.1 General Safety

Passengers must follow local laws, traffic regulations, and community standards while using the Services. Passengers should not engage in illegal activities, harassment, discrimination, or unsafe behavior during rides.

9.2 Emergency Features

The app includes emergency contact buttons and options to share ride details with friends or family. In life-threatening emergencies, passengers must call local emergency services (e.g., 911 in the U.S.) first.

9.3 Reporting Incidents

Passengers must promptly report accidents, safety incidents, or policy violations through the app or via support. Vamp may investigate reports and take action, including warnings, suspensions, or permanent account termination.

9.4 AI and Automation

Some rides may include AI-powered safety monitoring (e.g., in-app alerts or video analytics). Routing and driver assignment are primarily rule-based; AI is not used for autonomous passenger decisions. Passengers cannot override AI safety alerts but may contact support for questions or concerns.

9.5 Passenger Conduct Obligations

Passengers may not: Interfere with drivers' lawful operation of vehicles; attempt to manipulate or bypass ride pricing, promotions, or surge multipliers; share login credentials or allow unauthorized users to access the account.

9.6 Minors

Services are intended for passengers 18 and older. Vamp does not implement technical parental consent, and passengers under 18 are prohibited from account creation.

9.7 Video, Sensor, and Location Data

Ride videos, sensor logs, or GPS data may be collected for safety, legal, or operational purposes. Data sharing and retention are described in the Privacy Policy, including limited access to in-app trip videos (share links expire ~24 hours).

10. Intellectual Property

  • All content, software, logos, and trademarks in the Services are owned by Vamp.
  • Passengers are granted a limited, non-exclusive, non-transferable license to use the Services for personal purposes only.
  • Unauthorized use of Vamp trademarks or content is prohibited.

User Content License

By submitting, posting, or sharing any content through the Services, including ratings, reviews, feedback, trip-related media, or in-app communications, you grant Vamp a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, process, modify, distribute, and display such content solely for the purposes of operating, improving, and promoting the Services. You represent and warrant that you hold all rights necessary to grant this license and that your content does not infringe any third-party rights or violate applicable law. Vamp does not claim ownership of your content.

DMCA / Copyright Takedown

If you believe any content available on or through the Services infringes your copyright, you may submit a written takedown notice to Vamp's designated copyright agent at digital@vamp.app. To be valid, your notice must include: (i) a description of the copyrighted work claimed to have been infringed; (ii) identification of the allegedly infringing material and sufficient information for Vamp to locate it on the Services; (iii) your name, address, telephone number, and email address; (iv) a statement that you have a good faith belief the disputed use is not authorized by the copyright owner, its agent, or applicable law; (v) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf; and (vi) your physical or electronic signature. Vamp will process valid notices in accordance with the Digital Millennium Copyright Act, 17 U.S.C. § 512.

11. Dispute Resolution and Arbitration

11.1 Binding Arbitration

Any disputes arising from the Terms or Services must be resolved through binding individual arbitration, not in court. Small claims court is allowed if the claim qualifies.

11.2 Class Action Waiver

Passengers waive the right to participate in class actions, collective actions, or representative proceedings.

11.3 Arbitration Procedures

Arbitration is conducted under the American Arbitration Association (AAA) Consumer Arbitration Rules. The arbitrator's decision is final and binding.

11.4 Opt-Out

Passengers may opt out of arbitration by sending written notice to digital@vamp.app within 30 days of first accepting the Terms. Opt-out notices must include the passenger's full name and the email address associated with their Vamp account.

11.5 Exceptions

Either party may seek injunctive relief in court to prevent infringement of intellectual property rights.

12. Disclaimers and Limitation of Liability

  • Services are provided "as is" and "as available".
  • Vamp does not guarantee availability, uninterrupted service, or error-free operation.
  • Vamp is not liable for acts of independent drivers or third parties.
  • Maximum liability to a passenger for any claim is the greater of $100 or the total fees paid by the passenger in the twelve (12) months preceding the event giving rise to the claim.

IN NO EVENT SHALL VAMP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, LIQUIDATED, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF WHETHER VAMP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY.

13. Autonomous Vehicle Operations

13.1 Nature of Service

Certain rides facilitated through the Services may involve autonomous vehicle ("AV") technology operated by independent third-party AV operators. Vamp acts solely as a technology marketplace and is not the manufacturer, operator, or maintainer of any autonomous vehicle. AV technology governs vehicle operation only; all passenger-facing booking, account management, and support interactions are governed by these Terms and are not subject to autonomous or AI-driven decision-making.

13.2 Notification and Consent

Prior to any ride utilizing AV technology, you will be notified through the app that the vehicle operates with autonomous features. Requesting or confirming such a ride constitutes your informed consent to travel in an AV-equipped vehicle. You may decline an AV ride without penalty before confirming the booking.

13.3 Limitation of Vamp's Liability

To the maximum extent permitted by applicable law: (a) Vamp is not liable for any injury, property damage, or loss arising from the autonomous operation of a vehicle by a third-party AV operator; (b) claims relating to AV incidents should be directed to the applicable third-party AV operator and their insurer; and (c) Vamp's aggregate liability for any AV-related claim remains subject to the cap set forth in Section 12.

13.4 Insurance

Passengers using AV-operated rides are encouraged to confirm applicable insurance coverage with the AV operator prior to travel. Vamp makes no representation regarding the adequacy of any third-party AV operator's insurance coverage for any particular claim.

13.5 Regulatory Compliance

Third-party AV operators are independently responsible for compliance with all applicable federal, state, and local regulations governing autonomous vehicle operation. Vamp does not represent or warrant that any AV operator is in compliance with such regulations at any given time.

14. Indemnification

Passengers agree to indemnify, defend, and hold harmless Vamp and its affiliates against claims, damages, or expenses arising from misuse of the Services or violation of these Terms.

15. Termination

  • Vamp may suspend or terminate accounts at any time, with or without notice, for violations or safety concerns.
  • Passengers may terminate their account via the app or support.
  • Provisions that naturally survive termination include intellectual property, liability limitations, and indemnification.

16. Governing Law and Jurisdiction

  • These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
  • Legal actions, subject to arbitration, must be filed in Delaware courts.
  • Notwithstanding the foregoing, to the extent that applicable consumer protection law in a passenger's jurisdiction prohibits enforcement of the forum selection clause or governing law provision set forth in this Section, such provision shall be modified to the minimum extent necessary to comply with applicable law, and the remaining provisions of these Terms shall continue in full force and effect.

17. Changes to Terms

  • For material changes to these Terms, Vamp will provide at least thirty (30) days' advance notice via the website, app, or email to the address associated with your account. Non-material updates may take effect upon posting. Continued use of the Services following the applicable notice period constitutes acceptance of the modified Terms.
  • Continued use after changes constitutes acceptance of the modified Terms.

18. General Provisions

  • Entire Agreement: These Terms, the Privacy Policy, and feature-specific agreements constitute the complete understanding between Vamp and passengers.
  • Severability: Invalid provisions will be limited or removed, but the remaining Terms stay in effect.
  • Waiver: No waiver of any provision is deemed a continuing waiver.
  • Assignment: Passengers may not transfer the account; Vamp may assign these Terms freely.
  • Force Majeure: Vamp is not liable for delays or failures caused by acts beyond reasonable control, including natural disasters, pandemics, or strikes.
